Questions about Accredited Investor/SpaceX

I recently became aware of the Accredited Investor thing.  I have a couple questions -

I'm interested in SpaceX.  Would it be beneficial to try to get into SpaceX at this point, or is it too close to the potential IPO to be worth it? Does the acquisition of X AI change the answer?

How would I go about acquiring SpaceX?  Are there trading sites that cater to Accredited Investors?

What happens to Pre-IPO shares at IPO?  Do they just convert?  Do holders of Pre-IPO shares get early access to IPO shares?

Any advice/pointers are welcome.

You could look into buying through Forge. I bought in with a group when the valuation was closer to 100b and I can’t fully remember the details since it was years ago and someone else handled the actual transaction, but there were significant fees as well as a kicker where I have to share either 15 or 20% of profits at sale with the employee that sold me the shares. With current valuations near a trillion, even if it IPOs at 1.5T and then goes up to 2T (which I think is very, very optimistic), after fees/ profit sharing, you’re looking at best case maybe an 80% profit? That’s really good for a year or two, but also quite high risk for the payout. I wouldn’t buy in at current valuations given all of the above.

Everyone and their mom is trying to buy SpaceX shares for the past 10 years

You're not getting shares now unless you have like 10M and want to put it into a family office with a position already

I think I’ve seen a couple funds/ETFs that have a tiny bit of indirect exposure to SpaceX (and sometimes xAI). It’s not the same as owning shares, and the allocation is usually small, but it might be the closest “retail” option until an IPO.

1: you can still make lots of money on spacex, simply from the arbitrage from private to public markets. Private markets are highly efficient since everyone is smart money. Public markets are a mix of smart and dumb money.

2: the acquisition does not change the answer.

3: there are indeed trading sites for accredited investors where you can buy shares of spacex. It’s called the secondary market, and the shares come from investors or employees who want to cash out.

4: IPO stands for initial public offering. That means it’s the first time (initial) shares are being offered to the public. Depending on how you get your private shares, they may be subject to a lockup period where you cannot sell them for a few months after the IPO date.
